1. Agreement to these Terms
These Terms of Service ("Terms") are a legal agreement between you and Entre Technologies, Inc. ("Entre," "we," "us") covering the Entre mobile app and entre.nyc (together, the "Service"). By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.
Please read Section 6 carefully. It requires most disputes to be resolved through individual arbitration, not in court, and waives your right to participate in a class action. You can opt out within 30 days.
2. Eligibility and accounts
- You must be at least 18 years old to use Entre.
- You must give accurate information, keep it current, and use your real name.
- One account per person. Do not create an account for someone else or impersonate anyone.
- You are responsible for keeping your password secure and for activity on your account. Tell us right away at sam@entre.nyc if you think your account was accessed without permission.
- You may not use Entre if we have previously banned you, or if you are prohibited from receiving services under applicable law.
3. Using Entre
License. We give you a personal, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial use, subject to these Terms. Entre, its name, logo, design, and software belong to us and are protected by law.
Acceptable use. You agree not to:
- Harass, threaten, stalk, or harm anyone, or use Entre to arrange anything illegal or unsafe
- Use a name, username, or meetup name that is offensive, hateful, sexually explicit, or threatening
- Use information you see in Entre, such as someone's starting address, for any purpose other than the meetup it was shared for
- Send spam, unwanted invites, or commercial solicitations
- Create fake accounts, impersonate others, or misrepresent who you are
- Scrape, crawl, or collect data from the Service by automated means
- Probe, scan, or test the Service for vulnerabilities, or bypass any security or access control, except through responsible disclosure to sam@entre.nyc
- Reverse engineer, decompile, or copy the Service, except as the law expressly allows
- Interfere with the Service, overload it, or introduce malicious code
- Upload anything that infringes someone else's rights or that you do not have permission to share
Zero tolerance for abuse. Entre has no tolerance for objectionable content or abusive users. Our filter blocks many offensive names, but not all of them. You can block anyone from the Friends tab, which ends your friendship, cancels meetups between just the two of you, and stops them from sending you requests, invites, or notifications. You can also report anyone from the Friends tab, or by emailing sam@entre.nyc. We review every report within 24 hours. When content or behavior breaks these Terms, we remove it and ban the account responsible.
Inviting people who don't use Entre. You can invite someone to a meetup with a private link, and they can answer in their browser without an account. Send links only to people who would expect to hear from you, and enter the name they go by. Inviting someone this way doesn't create an Entre account for them. If you were invited by link, these Terms and our Privacy Policy apply to your use of it, and you must be at least 18. Anyone you forward your link to can see the meetup and answer as you, so keep it to yourself.
Your content. You own the information you add to Entre, such as your profile and meetup names. You give us a worldwide, royalty-free license to host, store, display, and process that content only as needed to operate and improve the Service and as described in our Privacy Policy. This license ends when you delete the content or your account, except for copies other meetup participants still need or that we must keep by law.
Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.
Security reports. If you find a security issue, report it to sam@entre.nyc and give us reasonable time to fix it before disclosing it. We will not take legal action against good-faith reports that follow this section and do not access, change, or keep other users' data.
4. Meetups, restaurants, and third parties
In-person meetups. Entre helps you plan meals with people you already know. We do not screen users, run background checks, or verify anyone's identity, and we are not present at any meetup. You are solely responsible for your interactions with other people, online and in person. Use good judgment, meet in public places, and contact local authorities if you feel unsafe.
Restaurants and suggestions. Restaurant names, addresses, ratings, prices, photos, hours, and midpoint calculations come from third parties such as Google and may be inaccurate or out of date. Restaurant suggestions are not endorsements. We are not responsible for any restaurant's food, service, prices, availability, accessibility, or safety. Dietary filters are a convenience, not a guarantee. Always confirm allergy and dietary needs directly with the restaurant.
Third-party services. Entre links to or works with services we do not control, such as Google Maps, Apple Maps, OpenTable, Resy, and your phone's Messages app. Your use of them is governed by their own terms and privacy policies, and we are not responsible for them.
Invites you send. When you invite someone from Entre, the message is sent from your own phone and account. You are responsible for only inviting people who would want to hear from you.
5. Disclaimers and limits on liability
Disclaimer. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, ENTRE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION IN IT IS ACCURATE.
Limitation of liability. TO THE FULLEST EXTENT ALLOWED BY LAW, ENTRE AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, YOUR INTERACTIONS WITH OTHER USERS, ANY MEETUP, OR ANY RESTAURANT OR THIRD-PARTY SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID ENTRE IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) $100.
These limits apply to every theory of liability and even if we were told the damages were possible. Some jurisdictions do not allow certain limits, so some of them may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, such as liability for our gross negligence or willful misconduct.
Indemnification. You agree to defend and hold harmless Entre and its owners, employees, and agents from claims, losses, and costs, including reasonable attorneys' fees, arising from your violation of these Terms, your misuse of the Service, or your conduct toward other users.
6. Dispute resolution and arbitration
Talk to us first. Before starting any formal proceeding, you and Entre agree to send a written notice describing the dispute and the relief sought (to us at sam@entre.nyc; to you at your account email) and to try in good faith to resolve it informally for at least 60 days. This step is required before filing in arbitration or small claims court, and any deadline to file is paused during it.
Binding individual arbitration. If we cannot resolve the dispute informally, you and Entre agree that any dispute arising from or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator. The Federal Arbitration Act governs this section. The arbitrator decides all issues, except that a court decides questions about the enforceability of the class action waiver and the batch procedures below. Hearings may be held by video or phone, or in New York County, New York, or the county where you live. We will pay arbitration filing fees above what you would pay to file in court, as the AAA consumer rules require.
Exceptions. Either party may bring an individual claim in small claims court instead, if it qualifies. Either party may go to court to stop infringement or misuse of intellectual property or unauthorized access to the Service.
Class action and jury trial waiver. YOU AND ENTRE MAY BRING CLAIMS ONLY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AND ENTRE WAIVE ANY RIGHT TO A JURY TRIAL. The arbitrator may award relief only to the individual party and only as needed for that party's claim.
Mass arbitration. If 25 or more similar demands are filed by or with help from the same law firm or coordinated group, they will be handled in batches of up to 25, one batch at a time, with one arbitrator per batch, and fees will be assessed per batch. The parties agree to mediate in good faith after the first batch is decided.
Opt out. You may opt out of this arbitration agreement by emailing sam@entre.nyc from your account email within 30 days of first accepting these Terms, with the subject "Arbitration Opt-Out" and your name. Opting out does not affect any other part of these Terms.
Severability. If the class action waiver is found unenforceable for a claim, that claim must be decided in court, not arbitration, and any remaining claims stay in arbitration. If any other part of this section is found unenforceable, the rest still applies.
Time limit. To the extent allowed by law, any claim must be brought within one year after it arises, or it is permanently barred.
7. Ending your account
You can stop using Entre and delete your account at any time in Settings. We may suspend or end your access, including permanently banning your account, if you violate these Terms, create risk or legal exposure for Entre or other users, or if we stop offering the Service. Where reasonable, we will tell you why. Sections 3 (Your content license, as limited there), 4, 5, 6, and 8 survive after your account ends.
8. General terms
- Changes to these Terms. We may update these Terms. For material changes, we will notify you in the app or by email at least 14 days before they take effect. Continuing to use Entre after that means you accept the new Terms. Changes to Section 6 will not apply to disputes we already knew about.
- Changes to the Service. We may change, pause, or discontinue any part of the Service.
- Governing law. New York law governs these Terms, except where the Federal Arbitration Act applies. Any court proceeding allowed by these Terms will be in the state or federal courts in New York County, New York.
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and Entre about the Service.
- Severability and waiver. If any part of these Terms is unenforceable, the rest stays in effect. Our not enforcing a term is not a waiver of it.
- Assignment. You may not transfer these Terms. We may transfer them in a merger, acquisition, or sale of assets.
- Apple users. These Terms are between you and Entre, not Apple. Apple is not responsible for the app or its support, and is a third-party beneficiary of these Terms with the right to enforce them against you.
- Notices. We may send notices by email or in the app. You may send notices to sam@entre.nyc.
